Dear Vendor,

Enclosed is Form W-9, Request for Taxpayer Identification Number and Certification.

IRS regulations require that we issue 1099 forms to certain companies and individuals. In order to accurately prepare these forms, the IRS requires that we obtain and maintain form W-9 for all of our vendors. This letter is to request that you complete and return the enclosed Form W-9. Failure to provide your Social Security Number or EIN may result in the delay of future payments or backup withholdings.

Please return the W-9 Form even if you are exempt from backup withholding within (5) days of receipt. Please make sure that the form is complete, legible and correct. Failure to respond in a timely manner may subject you to a 24% withholding on future payments. Enclosed are general instructions for completing the W-9.

Tips for accurately completing form:

Line 1 or 2: Name to enter if selecting:

  • Individual/sole proprietor or single-member LLC – Enter your individual name as shown on your 1040 line 1. You may enter your business or “doing business as” (DBA) name on line 2.
  • C-Corporation, S-Corporation, Partnership, Trust/estate or Limited liability company – Enter name as shown on the business tax return (1120, 1120S, 1065, 1041).

Before paying you, many companies will ask for an IRS Form W-9 so they can issue you an IRS Form 1099. A Form W-9 verifies your taxpayer ID number, typically your Social Security Number, or if you are a company, your employer identification number. If you want to be paid, refusing to hand over a W-9 may not make sense. The IRS says that anytime a payor thinks they may have to report a payment on an IRS Form 1099, they should ask for a Form W-9. If they fail to get one signed, they may have to withhold taxes on the payment, even if you are not an employee. This “backup withholding” at 24% is the usual consequence of refusing to hand over a Form W-9. Forms 1099 allow computer matching of Social Security numbers and dollar amounts paid and received, so IRS collection efforts are streamlined. Failing to report a Form 1099 on your tax return (or at least explain it) triggers an IRS notice asking you to explain or pay up. Thus, if you receive a Form 1099, report it, even if you are claiming that the money should be tax free.

Say that a lawyer settles a case for $1 million, with payment to the lawyer’s trust account. Assume that 60 percent is for the client, and 40 percent is for the lawyer. The lawyer is sure to receive a Form 1099 reporting the full $1 million as gross proceeds. The lawyer can report as income the $400,000 fee without worrying about computer matching, since gross proceeds do not count as income. The client isn’t so lucky. Unless the settlement is a non-income settlement (say, compensatory damage for personal physical injuries) or a capital recovery, the client will probably receive a Form 1099-MISC (probably in Box 3) for the full $1 million. The client must then figure out how to deduct the $400,000 in legal fees, if that is allowed. Since 2018, it is harder to find a way to claim legal fee deductions in many kinds of cases. As a result, Forms 1099 are even more important. Can you sidestep the tax reporting by being cagey about your Social Security number or taxpayer ID number? Maybe, but it can be pretty tough to do, if you want to get paid. Any Form 1099 requires taxpayer identification numbers, so attorneys are commonly asked to supply payers with their law firm’s ID number and those of their clients.

Usually, the request is to sign and return a Form W-9. Should lawyers and clients agree? Usually, if they don’t agree the money simply will not be paid, or the payor will withhold 24% and send it to the IRS. Still, the Form W-9 may make you uneasy. A plaintiff in a physical injury case who has just secured the agreement of the defendant not to issue a Form 1099 will wonder why supply a Form W-9? After all, the purpose of the Form W-9 is to provide and verify the taxpayer’s Social Security number. Doesn’t having the form necessarily mean that the defendant will issue a Form 1099? Not really, it may just mean that this defendant won’t pay much of anything to anyone without a signed form. In addition to supplying a payee’s Social Security number, the Form W-9 certifies that the recipient is a U.S. person (that is, a U.S. citizen or tax resident), and therefore is not subject to the onerous reporting and withholding obligations often required for “outbound” payments to non-U.S. persons.

Thus, many companies have a policy of requiring signed Forms W-9 for any payment. It doesn’t appear to be commonly invoked, but there is a potential penalty for refusing to provide a signed Form W-9 when requested. If a payee is requested to provide a taxpayer ID number and fails to provide it to a paying party, he is subject to a $50 penalty for each failure to supply that information. A more effective remedy is likely to be the threat of 24% backup withholding. A payee who provides false or inaccurate information, or refusing to hand over a Form W-9 when requested, is subject to backup withholding on the payments.

Thus, when a payer requires a Form W-9, it is usually not worth fighting about providing it, especially if there is already an understanding about which Forms 1099 will be issued. Disputes about Forms 1099 are common. The Form 1099 regulations are complex, which causes many businesses to err on the side of issuing the forms. Recipients may not like this, and lawsuits for issuing Forms 1099 are filed on occasion. Most such suits don’t seem to go very far, perhaps precisely because it is often possible to justify whatever was issued. So, while you probably will have to provide an IRS Form W-9 to get paid if that form is requested, try to head off Form 1099 issues whenever you can. Often, you may be able to agree on what forms will be issued and to whom.

What is Form W-9?

Form W-9 is a short IRS form for providing a TIN and other important information to a requester, including certification (a signature) that the information is correct. 

By correctly submitting the form to a requester, the person filling out the form also declares that they are not subject to backup withholding — a 24% rate deducted from non-employment income and collected by the IRS.

Who needs to fill out a W-9?

Form W-9 must be filled out by a US person or US resident alien (i.e. a foreign-born US resident who is not an American citizen) when it is requested from them. 

This can be for a variety of reasons, but the most common scenario is when a business is receiving and paying for services from an independent contractor. In this case, a business will request Form W-9 from an independent contractor to be able to report the non-employment income to the IRS.

Form W-9 may also be requested for the purpose of real estate transactions, mortgage interest, acquisition or abandonment of secured property, cancellation of debt, and contributions made to an IRA.

Step-by-step instructions

Form W-9 is a short form, so it doesn’t take long to fill out. Still, it’s important to fill it out correctly to avoid backup withholding and other penalties, including a $50 penalty from the IRS for failure to provide a correct TIN.

Form W-9 has six pages in total, but only the first page needs to be filled out. The required information spans three sections:

The first section of Form W-9 asks for personal information, federal tax classification and exemption codes.

The first section of Form W-9 is where you must provide information about yourself and your federal tax classification, including details of exemption if it applies to you. 

Line 1 : enter your name as it appears on your income tax return 

Line 2 : enter your business name or disregarded entity name if it is different from the name that you provided in line 1

Line 3 : provide your federal tax classification by checking the appropriate box from the provided options (listed below)

  • Individual/sole proprietor or single-member LLC
  • C Corporation
  • S Corporation
  • Partnership
  • Trust/estate
  • Limited liability company: if you check this option, make sure to enter your tax classification
  • Other: if you check this option, make sure to provide information on your federal tax classification 

Line 4 (if applicable) : for exemptions from backup withholding and FATCA reporting, enter your exempt payee code and/or exemption from FATCA reporting code in the appropriate boxes

Line 5 : enter your address, including your house/apartment/suite number and street

Line 6 : enter your city, state, and ZIP code

Requester’s name and address (optional) : next to your address information, you can enter the requester’s name and address if desired

Line 7 (optional) : enter any account numbers in the box that may be useful to your requester 

Part I of Form W-9 asks for the Taxpayer Identification Number (TIN).

Part I of Form W-9 is where you must provide your TIN. 

This is your Social Security number (SSN) if you are classed as an individual or your Employer Identification Number (EIN) if you are classed as another entity.

You only have to enter one of the above — just make sure it matches the name you provided in line 1 to avoid backup withholding.

Part II of Form W-9 asks for a signature to certify the information provided.

Part II is the final section of Form W-9 where you must provide your signature and the date of signing. This is for certification that you:

  • Have provided the correct TIN
  • Are not subject to backup withholding
  • Are a US citizen
  • Have provided the correct code for exemption from FATCA reporting

Special cases

For certain individuals and businesses, there are special considerations to be aware of when filling out Form W-9. 

For single-member LLCs, it’s important to check the box for “individual/sole proprietor or single-member LLC” and not “limited liability company” in line 3. 

Other entities, such as C corporations, S corporations, partnerships and trusts/estates, must also make sure to check the correct box for federal tax classification and provide an Employer Identification Number (EIN as the TIN.

Sending Form W-9

You must submit Form W-9 to the person who requested it from you, not the IRS. You can do this by:

  • Sending the completed W-9 form by post
  • Sending the completed W-9 form electronically (for example, by email)
  • Handing over the completed W-9 form in person

If you choose to send your W-9 form by post, ensure that your information remains protected by using a secure service, such as Registered Mail.

  • Not checking the right box for federal tax classification

The personal information of employees and contractors noted on a completed Form W-9 is necessary for payroll processing and payment reporting to the Internal Revenue Service (IRS). As a best practice, request a completed W-9 on your employee's first day of work and send a W-9 request to any new contractors. If a contractor won't comply with your request, send a formal letter with a pleasant but firm request for a completed form W-9.

The Basics of Form W-9 

A Form W-9 is an IRS document that details a taxpayer's name, address, federal tax classification, and Social Security number or employer identification number. The IRS doesn't mandate that businesses keep W-9s on file. However, businesses are required to collect and report the personal information listed on the form for all employees and for contractors to whom the company pays over $600 annually.

Collecting a Form W-9 is a convenient way to collect this information about your employees and contractors. Because of this, a company should have a completed Form W-9 on file for each employee and contractor.

Requesting a Form W-9 from Employees 

To ensure you collect a W-9 from all employees, include a W-9 form in the mandatory first day paperwork for new hires. Require new employees to complete all paperwork on site and return it to a human resources representative by the end of the first day.

Requesting a Form W-9 from Contractors

When you acquire a new contractor or vendor, enclose a Form W-9 with the initial contract. In a Form W-9 request letter, ask your vendor or contractor to complete and return the form as soon as possible. Consider implementing a policy to only pay vendors or contractors once a valid W-9 has been received, and note this policy in the letter requesting the Form W-9 from them.

Following Up on Outstanding W-9s

If you have trouble getting a completed Form W-9 from any employees or contractors, tactfully but firmly communicate that the W-9 is necessary before payment can be made to them. Explain to employees that the information on the form is necessary to process payroll and issue them paychecks. If a vendor doesn't return the Form W-9 within a week or two, send a second request letter to follow up.

If you have a documented policy of not paying a contractor without a Form W-9 in place, remind the vendor that you cannot pay them without the W-9 on file. The IRS requires you make a formal request for a Form W-9 to your contractors, so keep a copy of this request letter on file.

What to do if a Form W-9 is Missing

If you don't have a Form W-9 for a vendor at the end of the year, you still need to report the payments to the IRS. Complete and send a Form 1099-MISC for the contractor and leave the social security number blank. The IRS will respond with a notice that the number is missing, which you must forward to the contractor along with a notice of backup withholding and another copy of a W-9. You're obligated to withhold taxes from future payments to this contractor – currently, the withholding rate is 24 percent – and the contractor will incur a $50 fee from the IRS.

What is a Cover Letter? 

A cover letter is a one-page document that you submit as part of your job application, alongside your resume . 

Its purpose is to introduce you and briefly summarize your professional background. On average, your cover letter should be from 250 to 400 words long .

A good cover letter can give the hiring manager more insight into what makes you a good candidate and help them make up their mind about whether they should invite you for an interview. A bad cover letter, though, will get ignored (at best) and lose you the job (at worst).

So, to make sure this doesn’t happen, it’s essential to know how to write a convincing cover letter.

The first thing to remember is that a cover letter is a supplement to your resume, not a replacement. Meaning, you shouldn’t just repeat whatever is mentioned in your resume and call it a day. 

Optimally, you should use your cover letter to shed more light on your skills and qualifications, as well as explain anything you didn’t have space for in your resume (e.g. a career gap or why you’re changing careers).

If you’re writing a cover letter for the first time, though, putting all this together might seem pretty tough. 

Fortunately, you can follow our tried-and-tested format to make the experience much easier:

  • Header - Input your contact information.
  • Greeting the hiring manager - Open the cover letter with a “Dear Sir or Madam,” or use the hiring manager’s name if you know what that is.
  • Opening paragraph - Grab the hiring manager’s attention by getting straight to the point. Mention what your professional experiences are, and what role you’re applying for.
  • The second paragraph - Explain why you’re the perfect candidate for the job. Mention your top 2-3 achievements, your top skills, why you want to work in that specific industry, and whatever else is relevant.
  • The third paragraph - End your cover letter with a call to action. E.g. “I would love to meet personally and discuss how I can help Company X.”
  • Formal closing - Something like this: “Thank you for your consideration. Best, John Doe.”

9 Tips to Write a Cover Letter (the Right Way)

Now that we've covered the basics, let's talk about cover letter tips . Below, we'll give you all the knowledge you need to take your cover letter from "OK" to "great."

#1. Pick the right template

A good cover letter is all about leaving the right first impression.

And what’s a better way to leave a good impression than through a professional, well-formatted, and visual template?

#2. Add your contact details on the header

The best way to start your cover letter is through a header. 

Here’s what you want to include there:

  • Phone Number
  • Name of the hiring manager / their professional title
  • Name of the company you’re applying to

Optionally, you can also include the following:

  • Social Media Profiles - Any type of profile that’s relevant to your field. Social Profiles on websites like LinkedIn, GitHub (for developers), Medium (for writers), etc.
  • Personal Website - If you have a personal website that somehow adds value to your application, you can mention it. Let’s say you’re a professional writer. In that case, you’d want to link to your content portfolio site or blog.

#3. Greet the hiring manager the right way

Once you’ve listed all your relevant contact information, it’s time to address the hiring manager reading your cover letter. 

A good practice here is to find the hiring manager’s name and address them directly instead of using the traditional “dear sir or madam.” This shows that you’re really invested in the company and that you took your time to do some research about the job.

So, how can you find out the hiring manager’s name?

One way to do this is by looking up the head of the company’s relevant department on LinkedIn. Let’s say you’re applying for the position of Communication Specialist at Novoresume. The hiring manager is probably the Head of Communications or the Chief Communications Office.

Or let’s say you’re applying for the position of server at a restaurant. In that case, you’d be looking to find out who the restaurant manager is.

If this doesn’t work, you can also check out the “Team” page on the company website; there’s a good chance you’ll at least find the right person there.

If you still can’t find out the hiring manager’s name, here are several other greetings you can use:

  • Dear [Department] Hiring Manager
  • Dear Hiring Manager
  • To whom it may concern
  • Dear [Department] Team

#4. Create an attention-grabbing introduction

Recruiters get hundreds, sometimes even thousands, of applications. Chances are, they’re not going to be reading every single cover letter end-to-end.

So, it’s essential to catch their attention from the very first paragraph.

The problem with most cover letter opening paragraphs, though, is that they’re usually extremely generic, often looking something like this: 

Hey, my name is Jonathan and I’d like to work as a Sales Manager at XYZ Inc. I’ve worked as a sales manager at MadeUpCompany Inc. for 5+ years, so I believe that I’d be a good fit for the position.

As you can probably tell, this opening paragraph doesn’t tell the hiring manager anything other than that you’ve worked the job before - and that’s not really helpful in setting you apart from other candidates. 

What you want to do, instead, is start off with 2-3 of your top achievements to really grab the reader’s attention. Preferably, the achievements should be as relevant as possible to the position. 

For example:

My name’s Michael and I’d like to help XYZ Inc. hit and exceed its sales goals as a Sales Manager. I’ve worked with Company X, a fin-tech company, for 3+ years. #5. Show you’re the perfect person for the job

One great thing about cover letters is that they allow you to expand more on the top achievements from your resume and really show the hiring manager that you’re the right person for the job. 

A good way to do that is to first read the job ad and really understand what skills/experiences are required, and then to ensure that your cover letter touches upon the said skills or experiences.

In my previous role as a Facebook Marketing Expert at XYZ Inc. I handled customer acquisition through ads, managing a monthly Facebook ad budget of $20,000+. As the sole digital marketer at the company, I managed the ad creation and management process end-to-end. This means I created the ad copy and images, as well as picked the targeting, ran optimization trials, and so on.

Other than Facebook advertising, I’ve also delved into other online PPC channels, including:

  • Google Search

#6. Explain why you’re a great company fit

The HR manager doesn’t only look at whether you’ll be good at the job or not. They’re looking for someone that’s also a good fit for the company culture.

After all, employees that don’t fit in are bound to quit, sooner or later. This ends up costing the company a ton of money, up to 50% of the employee’s annual salary . 

To convince the hiring manager that you’re a great company fit, do some research on the company and find out what it is you like about them, or about working there. You want to know things like:

  • What’s the company’s business model?
  • What’s the company's product or service? Have you used it?
  • What’s the culture like? Will someone micro-manage your work, or will you have autonomy on how you get things done?

Then, turn your top reasons for liking to work there into text and add them to your cover letter! 

#7. Wrap up with a call to action

To make the end of your cover letter as memorable as possible, you want to:

  • Wrap up any points you couldn't in the previous paragraphs. Mention anything you’ve left out that you think could help the hiring manager make up your mind.
  • Thank the hiring manager for their time. After all, it never hurts to be polite. 
  • Finish the cover letter with a call to action. A call to action is a great way to make your cover letter ending as memorable as possible. 

#8. Write a formal closing

Once you’re done with the final paragraph, all you have to do is write down a formal “goodbye” and you’re good to go.

  • Best Regards,
  • Kind Regards,

#9. Proofread your cover letter

Last but not least, make sure to always proofread each and every document that you’ll be including in your job application - cover letter included.

To write a cover letter that’s simple but also professional, make sure to include a header with your personal information, a formal greeting to the hiring manager, an attention-grabbing opening paragraph, a second paragraph explaining why you’re a good candidate for the job, and a formal closing (preferably with a call to action).

Also, don’t stop at showing the hiring manager why you’re a great candidate for the job. Make sure to also talk about how you’re a good culture fit for the company.

Last but not least, wrap up your closing paragraph with a call to action to give the hiring manager a little extra something to remember you by. 

4. When is a cover letter necessary?

Unless the job ad specifically states otherwise, you should always include a cover letter with your job application .

Even if the hiring manager doesn’t read it, you will look more professional simply by including one.

A cover letter is a short and sweet way to give hiring managers a glimpse into who you are as an employee and what you can bring to their company. It’s your chance to make a lasting and positive impression.

It’s probably also worth detailing what a cover letter is not .

A cover letter is not your life story, not pages of work history, and not a place to vent about coworkers or managers. For sure, some job seekers make the mistake of including these things in their cover letters, but we can assure you their applications won’t make it far.

The best cover letter is one that gives a genuine snapshot of the how and why behind your top work accomplishments (and how those accomplishments are relevant to the place you’re applying) and will leave hiring managers feeling confident in contacting you for a chance to connect.

Start by checking out cover letter samples that aren’t just generic fluff. Look for a cover letter example that does the following:

• addresses a specific company and its needs • shares the candidate’s work achievements and how they were accomplished, and • expresses genuine excitement for the role and a chance for an interview or future conversation.

A sample cover letter like that will be a guiding light for you to imitate.

Because you’ll be leaving an overly generalized and boring letter behind that no one wants to read. Instead, you’ll have a professional cover letter that excites recruiters and hiring managers because they’ll be able to see how your skills and past success on the job have impacted other companies; they’ll want to talk more about how you can do the same for them.

Before you figure out how to start a cover letter, format your cover letter properly and include the correct contact information for yourself and the recipient.

Moving on from there, you’ll need three to five short paragraphs:

• Paragraph 1: Make a connection with the company and demonstrate your qualifications for the job. • Paragraphs 2-4: Highlight specific work accomplishments in the past, explaining the how and why, that are relevant to the needs and requirements of the company where you’re applying • Paragraph 5: Sum up with a qualifying thought, demonstrate a confident interest in further conversation, and express gratitude for the hiring manager’s time.

Finally, sign off with a professional and kind close, such as “Sincerely,” “Kind regards,” “Thank you,” etc., and your name.

FOMO (fear of missing out for those of you still catching up to today’s lingo) is a real thing, and while we’re not advocating that you let fear be your backseat driver, do you want to potentially miss out on your dream job just because you didn’t take the time to write a cover letter?

The thing is, most job seekers are blindly throwing their resumes out into the world with the hopes they’ll get a bite. It’s honestly a lot like that magnetic fishing game you always see kids doing at carnivals. There’s a whole bunch of ‘em overcrowded around a kiddie pool. Only one lucky kid’s going home with the rinky-dink prize; all the rest leave with shoulders slumped and feet shuffling to the next game.

But instead of sending your resume off to the masses and just hearing crickets, what if you added a cover letter and sent your matching duo off to, say, 5 companies a day? And what if you adjusted each cover letter to specifically address the needs of the company where you’re applying?

A good cover letter will take you places that your resume, on its own, just can’t. And a cover letter tailored to the company where you want to work is going to be hard for a hiring manager to pass up. All of a sudden, you’re the kid who wised up about the magnetic fishing game and went straight for the dunking booth—because you know you’ve got good aim.

Gone are the days of two to three-page cover letters—or at least those days should be gone!

Great cover letters will never be longer than a page. If it takes someone three pages to explain how fantastic they are at what they do, doesn’t that make you a little wary? This is the time to be confident in your skills and abilities, and it should only take a short cover letter to do it.

Short cover letters respect the time of recruiters and hiring managers while clearly and quickly showing them what you can bring to the table.
